All Minnesota Domestic Business Corporations governed under Minnesota Statues, Chapter 302A are required to file an Annual Renewal once every calendar year. Filing this Annual Renewal does not satisfy any other legal requirements. If Minnesota Statutes or Rules require a filing with another office/agency, you must submit that documentation to the required office/agency separately.
If changes to the Registered Agent and/or Registered Office Address are necessary, a Registered Agent and/or Registered Office Address change form must be filed along with the Annual Renewal form and the applicable filing fees are required. Changes to the principal executive office address and manager’s name and address can be made once a year by filing the Annual Renewal form with the Secretary of State’s Office.
